Treasury of Sacred Music Subscribing Member License Agreement
Terms of Use
1. Becoming a subscribing Member of this service requires that you register for an account on the site ("Account") and provide certain information about yourself as prompted by the Account registration form. You represent and warrant that: (a) all required registration information you submit is truthful and accurate and (b) you will maintain the accuracy of such information. You may delete your Account at any time, for any reason, by contacting Treasury of Sacred Music. By subscribing to this service, you also agree to be bound by the terms of this Member License Agreement (the "Agreement"). Treasury of Sacred Music (the "Treasury") grants to the subscribing Member (the "Member") a non-exclusive and non-transferable license (the "License") to the use of Treasury of Sacred Music content, consisting of unpublished copyrighted sacred music owned by and made available to Treasury of Sacred Music by its composers (“Content Providers”).
2. Subscription content means Treasury of Sacred Music content made accessible to you for so long as you remain an active Member.
3. Treasury of Sacred Music content is licensed to you, not sold to you, by the Treasury. Upon your download or access of content and payment of applicable fees (including applicable taxes), the Treasury grants you, subject to the terms of this Agreement, a non-exclusive right to view, download, print and use only as long as you remain an active Member under the terms of this Agreement whose Member fees are paid, and solely for your personal, non-commercial use. Title, copyright, intellectual property rights and distribution rights of the content remain exclusively with the Content Provider. This Agreement constitutes a license for use only and is not in any way a transfer of ownership rights to the content.
4. Limitations. Unless specifically indicated otherwise, you may not sell, rent, lease, distribute, sub-license, or otherwise assign any rights to the content, or any portion thereof, to any third party, and you may not remove or modify any part thereof. In addition, you may not attempt to bypass, modify, defeat, or otherwise circumvent any digital management system or other content protection or features as part of the service.
5. Risk of Loss. Risk of loss for content transfers to you when you download, print or access content.
6. Information Provided to Others. You are solely responsible for any information you provide to others using this Service. Use of information you provide to these third parties remains subject to any and all terms and conditions of this Agreement.
7. Termination; Fraud. Your rights under this Agreement will automatically terminate if you fail to comply with any term of this Agreement. We may also terminate your right to use the Service at any time, including if we determine your use violates any term of this Agreement or involves any fraud or misuse of the Service. In case of such termination, you must cease all use of the Service, and Treasury may immediately revoke your access to the Service without a refund of any fees. Our failure to insist upon or enforce your strict compliance with this Agreement will not constitute a waiver of any of our rights.
8. Force Majeure. The Treasury will be free of liability to the Licensee where the Treasury is prevented from executing its obligations under this Agreement in whole or in part due to Force Majeure, such as earthquake, typhoon, flood, fire, pandemic and war or any other unforeseen and uncontrollable event where the Treasury has taken any and all appropriate action to mitigate such an event.
9. This Agreement contains the entire agreement between the parties. All understandings have been included in this Agreement. Representations which may have been made by any party to this Agreement if in some ways are inconsistent with this final written Agreement, all such statements are declared to be of no value in this Agreement. Only the written terms of this Agreement will bind the parties.
10. This Agreement and the terms and conditions contained in this Agreement apply to and are binding upon the Vendor's successors and assigns.
11. Governing Law. The Parties to this Agreement submit to the jurisdiction of the courts of the State of Minnesota for the enforcement of this Agreement or any arbitration award or decision arising from this Agreement. This Agreement will be enforced or construed according to the laws of the State of Minnesota.
